Exchange of contracts is when you and the buyer both sign the contract, the buyer pays a deposit, and the contract is dated. Once contracts are unconditonally exchanged, then the deal is legal and binding. It’s the point of no return.
If you sell by auction, the buyer is committed to the sale immediately on the fall of the hammer. If you sell by private treaty, the buyer has a 5 business-day cooling-off period. During this time, they can rescind for any reason, but if they do, they forfit 0.25% of the contract price to the seller. A buyer can choose to waive the cooling-off period by providing a signed Section 66W Certificate from their solicitor or conveyancer. In that case, the contract becomes unconditional upon exchange.
